Quidbit.co.uk Account Holder User Agreement Terms and Conditions.

These General Terms and Conditions take effect as of 1st August 2018. Any changes and/or modifications will be posted here when made.

1. Introduction

1.1) The WEBSITE www.quidbit.co.uk is owned and managed by 'Red Tulip Media Limited', also trading under the name QUIDBIT. Red Tulip Media Limited is a company registered in the United Kingdom, registration number 595429.

1.2) This AGREEMENT is a legal document setting out your rights and obligations, as well as that of ' Red Tulip Media Limited ', which is referred to in this AGREEMENT as "QUIDBIT " in relation to the use of the WEBSITE, www.quidbit.co.uk , opening and managing an ACCOUNT, the QUIDBIT Cashback Service and all other services offered by QUIDBIT through the WEBSITE www.quidbit.co.uk to which this AGREEMENT refers to as "THE QUIDBIT SERVICE". Please take the time to read and fully understand this AGREEMENT before you sign up for an Account for THE QUIDBIT SERVICE. By completing the registration process you accept this AGREEMENT in full, which will govern the relationship between the ACCOUNT HOLDER and QUIDBIT. CO.UK. People who register for THE QUIDBIT SERVICE create an "ACCOUNT", and become "ACCOUNT HOLDER".

1.3) The terms "www.quidbit.co.uk " and "WEBSITE" mean in this AGREEMENT the main internet website used by QUIDBIT to manage THE QUIDBIT SERVICE, which is currently accessible at https://www.quidbit.co.uk.

1.4) By completing the registration procedure for THE QUIDBIT SERVICE, you become an ACCOUNT HOLDER, you acknowledge that you have fully read, understood and accepted all terms and conditions of this AGREEMENT and accept that you enter into a contract with QUIDBIT based on the conditions stated in this AGREEMENT. In order to exclude any doubt, English law will apply to this AGREEMENT and the conditions contained therein. In the event that a provision in this AGREEMENT and the conditions contained therein prove invalid or cannot be enforced, then that provision will be implemented as far as possible, and the other provisions contained therein will remain unaffected.

1.5) You as the ACCOUNT HOLDER agree that you are bound by this AGREEMENT (or such amended AGREEMENT) for as long as you are an ACCOUNT HOLDER or unless QUIDBIT terminates or suspends your ACCOUNT or otherwise restricts access to your ACCOUNT. If an ACCOUNT HOLDER objects to one of the conditions of this AGREEMENT, or to any possible future changes to it, or is dissatisfied with QUIDBIT and / or THE QUIDBIT SERVICE, then the only action that the ACCOUNT HOLDER may take is to immediately terminate his / her participation in THE QUIDBIT SERVICE and terminate his / her ACCOUNT in the correct manner.

1.6) You should be aware that this AGREEMENT may change from time to time in accordance with Article 30. If an ACCOUNT HOLDER does not agree with the changes to this AGREEMENT, then the ACCOUNT HOLDER is free to terminate the AGREEMENT in accordance with article 19 of this AGREEMENT.

2. THE QUIDBIT SERVICE

2.1) THE QUIDBIT SERVICE allows ACCOUNT HOLDERS to earn referral fees known as Cashback on Tracked Purchases from participating affiliate RETAIL PARTNERS. In order to qualify for a Cashback payment an ACCOUNT HOLDER on the QUIDBIT WEBSITE, the RETAIL PARTNER must confirm to QUIDBIT that the purchase of the ACCOUNT HOLDER has been followed, is genuine and successful and is therefore a Qualifying Transaction . The resulting referral fee linked to the purchase of the ACCOUNT HOLDER must be received in full from the RETAIL PARTNER by QUIDBIT to qualify as Cashback. QUIDBIT will then transfer the Cashback amounts shown on request to the ACCOUNT HOLDER as described in article 5 of this AGREEMENT.

2.2) The QUIDBIT help pages and other service documentation that can be found on the QUIDBIT WEBSITE contain more information about THE QUIDBIT SERVICE; please refer to these pages and documentation if you have any questions or problems regarding THE QUIDBIT SERVICE.

3. Opening an Account

3.1) You must be an individual(natural person) of at least 18 years old to be able to create an ACCOUNT. A person may not have more than one ACCOUNT. You must be a resident of the United Kingdom to register for an ACCOUNT at QUIDBIT. Businesses and other organizations which are VAT registered cannot become an ACCOUNT HOLDER.

3.2) You must register for the Service using accurate and up-to-date information about yourself - including your correct full name, e-mail address and other requested information regarding your ACCOUNT. If you provide banking details for depositing your Cashback payments into (your "Cashback payment method"), you must:

  1. ensure that you are fully entitled to use that Cashback payment method; and
  2. ensure that if you use a bank account, that this bank account is with a banking facility held in the in the United Kingdom; and
  3. confirm that you wish to receive your cashback using this cashback payment method. You must ensure that the banking information is at all times up to date in your ACCOUNT prior to making a cashback payment request.

3.3) Please note that your Cashback payment method or your bank account provider may have rules about the maximum or minimum payment that you can receive through that Cashback payment method.

3.4) Important: You must ensure that the data that QUIDBIT holds for you is kept up-to-date and that you have full access to it. QUIDBIT will from time to time send important messages to the e-mail address that you register with your ACCOUNT. Note that only one e-mail address per ACCOUNT is allowed. If you change your email address or change any other information, you must ensure that you change the email address and other relevant data that QUIDBIT stores for you in your ACCOUNT.

4. Information

4.1) It is a condition of being an ACCOUNT HOLDER that the ACCOUNT HOLDER provides QUIDBIT with valid ACCOUNT data including name and email address, and QUIDBIT reserves the right to send ACCOUNT HOLDERS messages from time to time for which they may not be rewarded. Such messages may include system updates; bulletins; order confirmations; administrative announcements; special requests and other similar messages ("ADMINISTRATIVE MESSAGES") - and may be sent via email or postal mail. ACCOUNT HOLDERS can elect to stop receiving newsletters and other emails related to specific commercial promotions, but cannot unsubscribe from ADMINISTRATIVE MESSAGES whilst retaining an ACCOUNT.

4.2) QUIDBIT is in no way obliged to provide ACCOUNT HOLDERS with information about specific types or number of possibilities for Cashback opportunities or to send them messages about this.

4.3) If you register as an ACCOUNT HOLDER, your profile will be created with default settings that allow you to specify the types of information you want to receive from QUIDBIT. You can change your preferred settings at any time by modifying your profile via the WEBSITE.

4.4) QUIDBIT does not pass any details to third party companies which may personally identify you, except where you have explicitly given QUIDBIT permission to do so for the purposes of investigating Tracked Purchases or as required by law.

4.5) Note: You should NEVER reveal your password to anyone. No employee or representative of QUIDBIT will ever ask you to reveal your password via any official communication from QUIDBIT. QUIDBIT cannot be held liable for activities that occur in your ACCOUNT that are the result of an ACCOUNT HOLDER not keeping their password secret.

5. Cashback

5.1) QUIDBIT operates in conjunction with various third party, online web shop retailers, service providers and their tracking agencies and networks as well as other businesses, previously and hereinafter referred to as "RETAIL PARTNER” and “RETAIL PARTNERS". RETAIL PARTNERS make payments to QUIDBIT when QUIDBIT ACCOUNT HOLDERS participate in a RETAIL PARTNER’S promotions in accordance with a RETAIL PARTNER’S specified terms and conditions. In return, QUIDBIT credits the ACCOUNT HOLDERS ACCOUNT with Cashback, where the Cashback can be traced directly to the ACCOUNT HOLDERS ACCOUNT by means of a unique identification tag provided in the reports of the RETAIL PARTNERS.

5.2) QUIDBIT does not carry out transactions of goods and services with the ACCOUNT HOLDER and QUIDBIT is not a party to transactions of goods or services with a RETAIL PARTNER, and is not the selling party or RETAIL PARTNER of goods and services that RETAIL PARTNER makes available to QUIDBIT users or ACCOUNT HOLDERS. This means that QUIDBIT does not have any legal obligations or responsibilities that apply to the sellers or suppliers of those goods or services.

5.3) After an ACCOUNT HOLDER successfully completes a Qualifying Transaction, and once QUIDBIT has received the resulting Cashback for that Qualifying Transaction from QUIDBIT’S RETAIL PARTNERS, QUIDBIT will then credit the displayed Cashback amount to the ACCOUNT HOLDERS ACCOUNT which in turn can be then redeemed through the ACCOUNT HOLDERS Cashback Payment Method.

5.4) The amount of Cashback an ACCOUNT HOLDER may earn from a particular promotion will be displayed on the QUIDBIT WEB SITE www.quidbit.co.uk and/or through authorized communications by QUIDBIT to ACCOUNT HOLDERS and may be expressed either as a fixed Pound Sterling amount or a percentage of the ACCOUNT HOLDERS transaction value (sometimes referred to as "Order value"). Unless specifically stated otherwise, the ACCOUNT HOLDER should assume that the calculation of such percentages or fixed Pound Sterling amounts will be based on the basket value and exclude costs such as delivery charges, VAT, and any charges made by the RETAIL PARTNER for credit card payments etc..

5.5) The methods of earning Cashback, as well as the amounts available are subject to change from time to time and will be communicated via www.quidbit.co.uk. An ACCOUNT HOLDERS failure to correctly follow any required instructions or procedures may result in no Cashback being earned, for which the ACCOUNT HOLDER will have no recourse against either QUIDBIT or any of its RETAIL PARTNERS.

5.6) QUIDBIT is not responsible for changes to, or discontinuance of any Cashback-earning opportunity on its WEB SITE www.quidbit.co.uk or through its RETAIL PARTNERS, neither is QUIDBIT responsible for any occurrence of inaccurate reporting of Cashback\ earned through a RETAIL PARTNER by an ACCOUNT HOLDER. The ACCOUNT HOLDER accepts that QUIDBIT will do its utmost to credit the ACCOUNT HOLDER, but in some cases, there may be a delay or failure to award Cashback due to a RETAIL PARTNER’S failure to provide necessary information to QUIDBIT for the crediting of such Cashback to an ACCOUNT HOLDERS ACCOUNT. QUIDBIT will not be responsible or liable for the delay or failure to credit an ACCOUNT HOLDERS Account Cashback in such circumstances.

5.7) There are no annual administration costs for the use of THE QUIDBIT SERVICE. QUIDBIT reserves the right at all times to change this by making an adjustment in these conditions, as stipulated in article 1.6.

5.8) QUIDBIT may from time to time adjust your Cashback ACCOUNT upwards or downwards in respect to accounting errors, non-payment from RETAIL PARTNERS, refunds issued, products returned or suspected fraud, for which QUIDBIT has full authority. In the event of an error by QUIDBIT your sole recourse will be the crediting of any disputed Cashback.

5.9) Please note that there are various circumstances in which a transaction with a RETAIL PARTNER may not constitute a Qualifying Transaction, or Cashback may not result from it. QUIDBIT help pages on the WEB SITE provide further information about these circumstances

5.10) There are various circumstances in which Cashback will not be payable to the ACCOUNT HOLDER, and will be forfeited to QUIDBIT, namely:

  1. where the Cashback payment that QUIDBIT receives from a RETAIL PARTNER is not attributed to a Qualifying Transaction or associated with an ACCOUNT (such as where the ACCOUNT HOLDER is not logged-in to THE QUIDBIT SERVICE when making the relevant purchase(s)).
  2. the transaction to which the Cashback relates to is cancelled after it has been entered into (whether under the right of cancellation that applies to some sales made at a distance, or otherwise);
  3. the Cashback is attributed to an ACCOUNT HOLDER or ACCOUNT that has been:
    1. suspended or terminated by QUIDBIT under paragraph 19. of this AGREEMENT;
    2. associated with any fraudulent activity or any breach of this AGREEMENT;
    3. used to make purchases on behalf of, or for the benefit of, any other person or entity.
  4. where the Cashback is held in, or attributable to, an ACCOUNT that has been inactive for more than twelve (12) months. Inactive for the purposes of this AGREEMENT means; that the ACCOUNT HOLDER has not logged into their ACCOUNT for a period of twelve (12) consecutive calendar months. Once the ACCOUNT HOLDERS ACCOUNT has been terminated for reasons of inactivity, the ACCOUNT HOLDER must redeem any Cashback (subject to the Terms and Conditions of this AGREEMENT) within sixty (60) days; after this time, any Cashback not redeemed will be cancelled and forfeited by the ACCOUNT HOLDER to QUIDBIT.

6. DiscountCodes

6.1) Some RETAIL PARTNERS may offer Discount Codes which if displayed on the WEB SITE can be used by an ACCOUNT HOLDER to receive a discount as well as Cashback. However, ACCOUNT HOLDERS should only use the RETAIL PARTNERS Discount Codes listed on the QUIDBIT WEB SITE. If you use Discount Codes that are not listed on QUIDBIT WEB SITE your Cashback will not be able to be tracked and will be declined by the RETAIL PARTNER and the ACCOUNT HOLDER will receive no Cashback.

6.2) Where Cashback is available from a RETAIL PARTNER in conjunction with a Discount Code, then the calculation of such percentages or fixed Pound Sterling amounts for Cashback will be based on the price the ACCOUNT HOLDER pays (Basket Value) for the goods or services provided by the RETAIL PARTNER, and shall exclude costs such as delivery charges, VAT, and any charges made by the RETAIL PARTNER for credit card payments etc..

7. Cashback Payments to ACCOUNT HOLDERS

7.1) Cashback payments made to you the ACCOUNT HOLDER using your registered Cashback Payment Method will be paid to you at your request. You will be able to request a Cashback payment be made to you once your ACCOUNT balance reaches a minimum of £10 or a minimum of BTC 0.002 applies to payments to a bitcoin (BTC) address. Payment transfers can only be made to the Cashback Payment Method supported by QUIDBIT and as detailed in your ACCOUNT, all bank transfer payments will only be made to banking facilities held in the United Kingdom. All bank payments will be made only by way of electronic transfer; no cheques for payment will be issued by QUIDBIT. Please ensure that the Cashback Payment Method you choose to use for your ACCOUNT accepts payments by electronic transfer before entering the Cashback Payment Method details into your ACCOUNT. Note that your Cashback Payment Method i.e. your bank account provider may have rules about the maximum or minimum payment that you can receive through that Cashback Payment Method.

7.2) Should a RETAIL PARTNER delay payment or cease trading then QUIDBIT will make reasonable efforts to recover your Cashback, however, QUIDBIT can make no guarantees of payment to your ACCOUNT until funds have been received by QUIDBIT from the RETAIL PARTNER.

7.3) Any funds in your ACCOUNT will become forfeit should your ACCOUNT become terminated or suspended for reasons as detailed in paragraphs 5.10 and 19.

7.4) Individual payment methods may be limited or withdrawn on a discretionary basis to ensure only United Kingdom based bank payment transactions are made as per the terms and conditions of this AGREEMENT. Payment details must be kept up to date and accurate by the ACCOUNT HOLDER to avoid losing any due payments. The electronical administration of QUIDBIT is leading, the ACCOUNT HOLDER must prove that the electronic administration of QUIDBIT is wrong. Payments made to incorrect destinations are not always recoverable and may be subject to a recovery fee. QUIDBIT will not be held liable for any delays, or consequences of delays in payment. At any time QUIDBIT reserves the right to put payment requests on hold pending any investigation, this may be the case where unusual ACCOUNT activity is detected and verification is therefore required in order to deem the transactions as genuine.

7.5) When a pay-out is requested in Bitcoin, the amount that will be deducted from the ACCOUNT as mentioned in paragraph 7.1 will be an amount equivalent to the amount paid in Bitcoin, calculated at the time the payment request is made and according to the exchange rate displayed on the WEBSITE www.quidbit.co.uk at that time. QUIDBIT reserves the right at all times to suspend or reject payment requests at its discretion if fluctuations in the Bitcoin market justify this.

8. Tax

8.1) You are responsible for assessing any tax implications that may arise through redeeming Cashback under THE QUIDBIT SERVICE, and for the payment of any said taxes that may be due.

9. Transferal, Pooling, Sale or Barter of an ACCOUNT

9.1) Cashback may not be transferred to other ACCOUNT HOLDERS ACCOUNTS or pooled together in any manner. The sale or barter of Cashback is strictly prohibited by QUIDBIT.

10. Other ACCOUNT HOLDER Facilities

10.1) QUIDBIT may provide additional facilities on or in connection with its WEB SITE www.quidbit.co.uk, not directly related to the earning and redemption of Cashback, such as; discussion forums, private messaging and other means of inter ACCOUNT HOLDER communication. The ACCOUNT HOLDER should use such facilities in accordance with the Terms of Use and guidelines as published on the QUIDBIT WEB SITE www.quidbit.co.uk. QUIDBIT reserves the right to withdraw such facilities from an individual ACCOUNT HOLDER either temporarily or permanently and / or terminate their ACCOUNT in the event that The ACCOUNT HOLDERS use of such facilities is in breach of these Terms and Conditions or otherwise contrary to the interests of QUIDBIT or its ACCOUNT HOLDERS.

10.2) Note that QUIDBIT accepts no responsibility for the accuracy or otherwise of communications made by other ACCOUNT HOLDERS using these facilities. Complaints about such communications should be made in writing to QUIDBIT using the WEB SITE Contact Form.

11. Intellectual Property

11.1) You acknowledge that all copyright, trademarks, and other intellectual property rights in and relating to THE QUIDBIT SERVICE (including the material which is contributed by ACCOUNT HOLDERS or RETAIL PARTNERS) are owned by, or licensed to, QUIDBIT. It is easy to copy material which appears on websites, but this does not mean it is legal. Therefore, no-one may copy, distribute, show in public or create any derivative work from THE QUIDBIT SERVICE, or any of the material which is found on THE QUIDBIT SERVICE unless properly licensed to do so by QUIDBIT.

12. Privacy Policy

12.1) QUIDBIT handles the ACCOUNT HOLDERS personal data according to its Privacy Policy which forms part of this AGREEMENT. By entering into this AGREEMENT the ACCOUNT HOLDER gives his consent to the way QUIDBIT handles the ACCOUNT HOLDERS personal data under that policy. Given the global nature of the Internet, please note that a posting on THE QUIDBIT SERVICE may be accessible to internet users around the world and therefore caution should be exercised at all times with respect to content and personal information which may be posted on public forums etc..

13. QUIDBIT’S Role

13.1) QUIDBIT is not a party to any transactions with RETAIL PARTNERS, and is not the seller or RETAIL PARTNER of any of the goods or services that they make available to users or ACCOUNT HOLDERS. Thus, QUIDBIT does not have any of the legal obligations that apply to the sellers of those goods or services.

13.2) Accordingly, QUIDBIT has no control over or responsibility for:

  1. the quality, safety, guarantees, commercial communication provided by the retail partner or legality of those goods or services available from RETAIL PARTNERS; or
  2. whether the RETAIL PARTNER can or will supply and pass good title to any goods or services.

13.3) ACCOUNT HOLDERS should exercise no lesser degree of caution in entering into transactions with a RETAIL PARTNER than they would when entering into a similar transaction offline.

13.4) To the extent that the law permits, you release QUIDBIT, QUIDBIT’S agents and employees from all liability arising out of or in connection with any transactions with a RETAIL PARTNER of goods or services, including (without limitation) all claims and demands relating to uncompleted or completed transactions with a RETAIL PARTNER, or goods or services offered for sale or supply, or actually sold or supplied, through or in connection with any transactions with a RETAIL PARTNER.

14. Misuse

14.1) QUIDBIT reserves the right to suspend or terminate any ACCOUNT HOLDERS access to THE QUIDBIT SERVICE , or parts of it, if in the reasonable opinion of QUIDBIT the relevant ACCOUNT HOLDER or ACCOUNT appears to be in breach of any provision of this AGREEMENT. QUIDBIT will notify the relevant ACCOUNT HOLDER by email using the ACCOUNT HOLDERS registered email address of such action.

14.2) An ACCOUNT HOLDERS ACCOUNT must be used only for purchases on his/her own behalf, and not on the behalf of, or for the benefit of, any other person(s).

14.3) ACCOUNT HOLDERS must not enter into, or attempt to enter into, any transaction with a RETAIL PARTNER or to gain Cashback;

  1. by providing personal information of someone else, or a payment method which they are not entitled to use;
  2. by deceptively or unfairly exploiting a RETAIL PARTNER’S offering, or;
  3. in violation of any terms and conditions applied by QUIDBIT or the RETAIL PARTNER to that transaction.

14.4) It is each ACCOUNT HOLDERS obligation to ensure that any material posted by him/her or associated with his/her ACCOUNT:

  1. is not defamatory, offensive, or abusive or of an obscene, indecent or menacing nature;
  2. is not intended or likely to cause needless annoyance, inconvenience or distress to any person;
  3. does not contain any computer virus, macro virus, Trojan horse, worm, or anything else designed to interfere with, interrupt, or disrupt the normal operating procedures of a computer or to surreptitiously intercept, access without authority, or expropriate any system, data or personal information;
  4. does not contravene any applicable law or regulation (including, but not limited to, laws governing consumer protection, distance selling, unfair competition, anti-discrimination, false advertising, copyright, trademark and privacy);
  5. does not breach the rights of any person or entity (including any rights or expectations of privacy);
  6. where it constitutes feedback on a RETAIL PARTNER, that is accurate and fair; and does not advertise any goods or services.

14.5) If you see or experience anything on THE QUIDBIT SERVICE that appears to infringe any of the above requirements, please inform QUIDBIT immediately by using the WEB SITE Contact Form.

14.6) Each ACCOUNT HOLDER acknowledges that QUIDBIT is entitled, but not obliged, to withdraw any material, which appears - based on information received from third parties or other ACCOUNT HOLDERS - to be in breach of this AGREEMENT.

15. Claims & Disputes

15.1) Any ACCOUNT HOLDER wishing to raise questions or disputes regarding THE QUIDBIT SERVICE , including without limitation, questions regarding participation and eligibility should do so in accordance with the instructions on www.quidbit.co.uk.

15.2) ACCOUNT HOLDERS should not contact QUIDBIT RETAIL PARTNERS regarding any issues related to the awarding and redemption of Cashback, which is the sole responsibility of QUIDBIT. Any communication relating to the awarding or redemption of Cashback should be made only to QUIDBIT as detailed in paragraph 15.1 of this AGREEMENT.

15.3) Unless specifically notified otherwise, all goods and services promoted by QUIDBIT RETAIL PARTNERS are provided solely by the named RETAIL PARTNER, and QUIDBIT makes no warrant in respect to them. You must exchange defective products or goods by following the RETAIL PARTNER designated procedures.

15.4) All interpretations of these terms and conditions shall be at the sole discretion of QUIDBIT. In the event of an error by QUIDBIT your sole recourse will be the crediting of any disputed Cashback.

16. Contact from Third Parties

16.1) If anyone contacts QUIDBIT in relation to material posted on the QUIDBIT WEB SITE www.quidbit.co.uk or transactions associated with you or your ACCOUNT, then you agree:

  1. to provide all reasonable information and assistance QUIDBIT may require in connection with responding to that contact; and
  2. to respond promptly and accurately to it, should QUIDBIT pass the message to you for a response.

17. Bonus Payments and Additional Services

17.1) QUIDBIT or QUIDBIT’S partners may offer you Bonus Payments and/or new or additional services through THE QUIDBIT SERVICE from time to time. Your use or acceptance of Bonus Payments and/or additional services may be subject to additional terms and conditions, which you must comply with. Provided that those terms are notified to you on the QUIDBIT WEB SITE in an appropriate manner (as determined by the reasonable discretion of QUIDBIT) when you agree to take those Bonus Payments and/or additional services, any failure by you to comply with a material provision of the terms governing those Bonus Payments and/or additional services will amount to a breach of this AGREEMENT.

17.2) If an ACCOUNT HOLDER introduces a new member using the QUIDBIT "Refer a Friend" bonus program, a cash amount (bonus) in the form of Cashback will be credited to the ACCOUNT of the referring ACCOUNT HOLDER. The amount of the referral fee (bonus) paid to an ACCOUNT HOLDER may be changed from time to time by QUIDBIT and is determined at the time of registration of the new referred ACCOUNT HOLDER on the basis of the applicable bonus rate at that time.

17.3) The bonus for the referral of a new ACCOUNT HOLDER is released at the moment the new referred ACCOUNT HOLDER has saved at least £10.00 in regular transaction cashback and both the new ACCOUNT HOLDER and the applying ACCOUNT HOLDER have requested a Cashback Payment Method using a bank account and the bank account details of these payments, and those of any previously applied ACCOUNT HOLDERS, are different (please note that Refer a Friend bonus payments cannot be made using Bitcoin). Only then will the Refer a Friend bonus for the applying ACCOUNT HOLDER be available for payment.

17.4) From time to time, QUIDBIT may offer a “Welcome Bonus” to a new ACCOUNT HOLDER in the form of additional Cashback on the ACCOUNT HOLDERS ACCOUNT. The amount of this Welcome Bonus may be changed from time to time by QUIDBIT and is determined at the time of registration of the new ACCOUNT HOLDER on the basis of the applicable Welcome Bonus rate at that time.

17.5) The Welcome Bonus is released at the moment that the ACCOUNT HOLDER has saved at least £10.00 in regular transaction Cashback. Only then will the Welcome Bonus for the ACCOUNT HOLDER be available for payment.

17.6) An ACCOUNT HOLDER that has previously held an ACCOUNT with QUIDBIT is not eligible for a Refer a Friend Bonus.

17.7) An ACCOUNT HOLDER that has previously held an ACCOUNT with QUIDBIT is not eligible for a Welcome Bonus.

18. Operation of THE QUIDBIT SERVICE

18.1) QUIDBIT reserves the right to withdraw, modify or suspend any aspects of THE QUIDBIT SERVICE , or the entirety of it, where QUIDBIT have legal, security, technical or commercial reasons to do so. QUIDBIT will endeavour to give you 30 days advance notice before taking such action, except where it is necessary to take earlier action for security reasons or because of technical difficulties which would otherwise adversely affect THE QUIDBIT SERVICE.

18.2) There may also be times when THE QUIDBIT SERVICE becomes inaccessible as a result of technical difficulties experienced by QUIDBIT or on the Internet; QUIDBIT will, however, use reasonable skill and care to overcome these difficulties where they are within the control of QUIDBIT. Please note however, that QUIDBIT cannot guarantee continuous access to THE QUIDBIT SERVICE or any of the content that appears on it. Nevertheless, QUIDBIT will strive to ensure that any periods of planned unavailability, which you will be informed of when you access THE QUIDBIT SERVICE at the relevant time, are kept to a minimum.

18.3) For security or other reasons, QUIDBIT may require you from time to time to change your password or other information which facilitates access to THE QUIDBIT SERVICE; however, QUIDBIT will never ask you for your password via email, telephone, or any other means other than through the www.quidbit.co.uk WEB SITE to log into your account. You are solely responsible for maintaining the confidentiality of your password and any additional identifying information.

19. Termination

19.1) At any time either The ACCOUNT HOLDER or QUIDBIT may terminate the ACCOUNT HOLDERS ACCOUNT with or without cause. Your ACCOUNT immediately ceases upon termination. Once the ACCOUNT HOLDERS ACCOUNT is terminated, the ACCOUNT HOLDER must redeem any Cashback (subject to the Terms and Conditions of this AGREEMENT) within sixty (60) days; after this time, any Cashback not redeemed will be cancelled and forfeited by the ACCOUNT HOLDER to QUIDBIT

19.2) QUIDBIT shall be the sole determiner in cases of suspected abuse, fraud, or violation of its rules and any decision it makes relating to termination of an ACCOUNT HOLDERS ACCOUNT (including cancellation of Cashback) shall be final and binding.

19.3) In the event that an ACCOUNT HOLDER expressly requests to leave (terminate his/hers ACCOUNT) THE QUIDBIT SERVICE, no further communication will be entered into between QUIDBIT and the ACCOUNT HOLDER.

20. Access and Security

20.1) Each ACCOUNT HOLDER joining THE QUIDBIT SERVICE will register under their email address and selected password, which should NEVER be disclosed to any third party.

20.2) For authorisation and redemption purposes, you will be required to identify yourself through your personal registered email address and password. For the avoidance of doubt, any individual logging in with a correct email address and password will have full access to that ACCOUNT, and it is the sole responsibility of the ACCOUNT HOLDER to ensure that this information is not made available to unauthorised individuals or entities.

20.3) Access to your ACCOUNT is password protected and QUIDBIT will never release details of this to third parties. Details are only released when QUIDBIT receives an email from the email address registered in association with the ACCOUNT of the ACCOUNT HOLDER. If you have forgotten your password, please use the 'Password reminder' facility on www.quidbit.co.uk to request a new password.

20.4) You should NEVER reveal your password to anyone. No employee, agent or RETAIL PARTNER of QUIDBIT will ever ask you to reveal your password either verbally or in any authorized communications from QUIDBIT. QUIDBIT, cannot be held responsible and liable for any activity in your ACCOUNT which results from an ACCOUNT HOLDER not keeping their login details and password secure.

20.5) QUIDBIT will never collect or store electronically or otherwise your credit / debit card information. QUIDBIT will NEVER ask you for your bank or other financial details via email, telephone or sms.

21. Liability

21.1) QUIDBIT shall do its utmost to ensure that THE QUIDBIT SERVICE will be provided to the ACCOUNT HOLDER with reasonable care and skill with the intention of meeting QUIDBIT’S specifications for THE QUIDBIT SERVICE , but QUIDBIT cannot and do not guarantee that THE QUIDBIT SERVICE will meet your requirements.

21.2) QUIDBIT shall be liable as expressly provided in this AGREEMENT, but shall have no other obligation, duty or liability whatsoever in contract, tort (including negligence, breach of statutory duty and any other tort) or otherwise.

21.3) Subject always to paragraph 21.4, QUIDBIT shall be liable for direct loss or damage only, whether in contract, tort (including negligence, breach of statutory duty or other tort) or otherwise, and whether caused by its act or omission or that of its employees, agents or subcontractors. QUIDBIT’S aggregate liability during any successive period of twelve months, the first of which shall be deemed to begin on the date when you obtain your ACCOUNT, shall be limited to the retention payable in respect of that twelve-month period (but without limiting QUIDBIT’S obligation to pay Cashback to ACCOUNT HOLDERS to the extent provided in this AGREEMENT).

21.4) QUIDBIT will not be liable to you or anyone else, whether in contract, tort (including negligence, breach of statutory duty or other tort) or otherwise:

  1. for any loss of revenue, business, anticipated savings or profits, or
  2. for any indirect, special or consequential loss damage, costs or other claims, howsoever caused or arising, whether through Cashback earning opportunities been closed, terminated or suspended or non-supply or late supply of THE QUIDBIT SERVICE or other non-performance of this AGREEMENT or otherwise.
  3. except as expressly stated elsewhere in this AGREEMENT, all representations, warranties, conditions and other terms, whether express or implied (by common law, statute, collaterally or otherwise) are hereby excluded, except in the case of fraud, or where such exclusion is not permitted by law.
  4. For the avoidance of doubt, QUIDBIT will not have liability to you or any other person in respect of material contributed by ACCOUNT HOLDERS, transactions (or non-transactions) with RETAIL PARTNERS, or any activity or communication relating to such material or transactions

21.5) The provisions of this paragraph 21. shall survive the termination or expiry of this AGREEMENT.

22. Indemnity

22.1) The ACCOUNT HOLDER agrees to indemnify QUIDBIT, its employees, agents and/or its RETAIL PARTNERS against all liabilities, claims and expenses that are not as of a direct result of an error of QUIDBIT, but that may arise out of or in connection with;

  1. any breach of this AGREEMENT by you or through your ACCOUNT, or
  2. any transaction with a RETAIL PARTNER.

23. Linking from External Web Sites

23.1) QUIDBIT is happy for other web sites to link to it; however, it does not permit pages to be loaded into frames on other sites. It does not permit links from any web sites that contain material which could be construed as inappropriate or offensive.

24. Links to External Web Sites

24.1) The QUIDBIT WEB SITE links to many other web sites for information and as a service to QUIDBIT users. These external web sites are not under the control of QUIDBIT and QUIDBIT is not responsible for the content of any linked site. By listing or linking to another site, QUIDBIT is not making any kind of endorsement and QUIDBIT accepts no liability in respect of the content. QUIDBIT does not guarantee that links will work all of the time and cannot control the availability of the linked pages. If you deem any link inappropriate or offensive, or find any link to not work, then please notify QUIDBIT using the Contact Form so that the link may be repaired or removed from the QUIDBIT WEB SITE.

25. Unauthorised Use Of the WEB SITE.

25.1) No part of the web pages on the QUIDBIT WEB SITE may be distributed or copied for any commercial purpose whatsoever.

25.2) No part of the web pages on the QUIDBIT WEB SITE may be reproduced on or transmitted to or stored by any other web site or other form of electronic retrieval system by any person or entity that operates any such web site or electronic retrieval system.

25.3) If it is found that the QUIDBIT WEB SITE www.quidbit.co.uk is being tampered with by an ACCOUNT HOLDER in any way including modification of URLs, posting unauthorised URLs on public media, pages being spidered, automatic scripts or anything deemed by QUIDBIT to be abnormal use then QUIDBIT may terminate your ACCOUNT and any Cashback earnings associated with your ACCOUNT may become forfeit to QUIDBIT. To protect QUIDBIT RETAIL PARTNERS, any abuse of an offer may lead to transactions being revoked. Any transactions deemed to be of a suspicious nature may require further verification by QUIDBIT and/or the RETAIL PARTNERS involved, and further information on your transactions may be requested from the ACCOUNT HOLDER. For this reason, QUIDBIT may pass on any details which you have provided in communications with the RETAIL PARTNER and its agencies.

26. Virus Disclaimer

26.1) QUIDBIT will take all reasonable effort to test material before placing on the WEB SITE. In the very unlikely event of any loss, disruption or damage, QUIDBIT cannot be held responsible for any loss, disruption or damage to your data or computer system which may occur whilst using material derived from the QUIDBIT WEB SITE.

27. Assignment

27.1) QUIDBIT reserves the right to assign this AGREEMENT, and to assign or subcontract any or all of QUIDBIT’S rights and obligations under this AGREEMENT. You may not without the written consent of QUIDBIT assign or dispose of this AGREEMENT, nor subcontract any of your rights and obligations under it.

28. Entire AGREEMENT

28.1) The Terms and Conditions of this AGREEMENT (including the Privacy and Cookie Policy and any other terms and conditions or usage rules incorporated into the AGREEMENT Terms and Conditions constitute the whole AGREEMENT between you and QUIDBIT relating to their subject matter and supersede any prior AGREEMENTs, undertakings, representations, warranties and arrangements of any nature, whether in writing or oral, relating to such subject matter. Neither party has any liability to the other for a representation or statement not set out in these Terms and Conditions.

29. Interpretation

29.1) In these Terms and Conditions of the AGREEMENT, unless the context requires otherwise: any phrase introduced by the words "including", "include", "in particular", "for example" or any similar expression shall be construed as illustrative only and shall not be construed as limiting the generality of any preceding words; and references to the singular include the plural and to the masculine include the feminine, and in each case vice versa.

30. Changes to this AGREEMENT

30.1) QUIDBIT reserves the right to change this AGREEMENT from time to time, and post the new version on the QUIDBIT WEB SITE, www.quidbit.co.uk. When QUIDBIT does so, the new version of the AGREEMENT and the associated Terms and Conditions will take effect, and will govern the use of THE QUIDBIT SERVICE and your relationship with QUIDBIT:

  1. commencing no less than thirty days after the date of posting (or such later date as indicated in the relevant posting), if any of the changes is to an operative provision of this AGREEMENT which is capable of adversely affecting you; if you do not wish to be governed by the new version of the AGREEMENT, you may notify QUIDBIT on or before the date when the new version of the AGREEMENT is to take effect, and from that date you must terminate your ACCOUNT and cease to use THE QUIDBIT SERVICE and WEB SITE.

31. General

31.1) In the event that any term of this AGREEMENT is held to be invalid or unenforceable, the remainder of this AGREEMENT shall remain valid and enforceable. You and QUIDBIT are independent contractors, and no agency, partnership, joint venture or employee-employer relationship is intended or created by this AGREEMENT. QUIDBIT’S failure to act with respect to a breach by you or others does not waive QUIDBIT’S right to act with respect to subsequent or similar breaches.

32. Force Majeure

32.1) QUIDBIT will not be liable to you for any lack of performance, or the unavailability or failure, of this WEB SITE or any of QUIDBIT’S products or services, or for any failure or delay by QUIDBIT to comply with these Terms and Conditions, where such lack, unavailability or failure arises from any cause beyond QUIDBIT’S reasonable control.

33. Law

33.1) This AGREEMENT, and QUIDBIT’S relationship with you and each ACCOUNT HOLDER, is governed by the laws of the English courts.

33.2) You and QUIDBIT each submit to the non-exclusive jurisdiction of the English courts in England in relation to disputes arising in connection with this AGREEMENT.

34. Keeping this AGREEMENT

34.1) QUIDBIT does not separately file the individual AGREEMENT’S entered into by ACCOUNT HOLDERS when they register for THE QUIDBIT SERVICE. You can access it any time at www.quidbit.co.uk. Please make a durable copy of this AGREEMENT by printing and/or saving a downloaded copy on your own computer. This AGREEMENT is offered in English only.

35. Contact

35.1) 'Red Tulip Media Limited' also trading under the name QUIDBIT is a company registered in the United Kingdom, registration number 595429.

Please note that all communications (including formal notices) under this AGREEMENT are to be sent and received by email. For this purpose, your notices should be sent via the QUIDBIT WEB SITE Contact Form, and QUIDBIT will send notices to you at the email address you notify to use when you register as an ACCOUNT HOLDER, or as changed subsequently in your ACCOUNT details.

36. Warranty

36.1) THE QUIDBIT SERVICE is being offered to individuals "as is" with no warranty to the maximum extent as permitted by the law. QUIDBIT disclaims any representation and warranties, express or implied, with respect to THE QUIDBIT SERVICE, including, but not limited to, implied warranties of merchantability and fitness for any particular purpose.

36.2) QUIDBIT does not make any warrant, guarantee, or make any representations regarding the quality of, or assurance of any advertisement or any merchandise, products, or services offered or provided by third party companies participating in THE QUIDBIT SERVICE .
